Coaching Services Agreement

Kim Wayman Coaching — a service managed through the infrastructure of
Conspire Studio, LLC


1. Nature of Coaching Services

Coaching is a collaborative, change-oriented process focused on Client's personal growth, exploration, and goal achievement. Coach specializes in supporting individuals and couples exploring topics related to sex and relationship structures such as polyamory and ethical non-monogamy (ENM), and also works with Client wherever their own process leads, which can include any field of inquiry (i.e. family, spirituality, friendships, career, etc.).

Coaching is NOT therapy, psychotherapy, counseling, or any other form of licensed mental health treatment. Coach is not a licensed therapist, psychologist, social worker, or medical provider, and does not diagnose or treat mental health conditions. If Client is experiencing a mental health crisis, or needs clinical treatment, Client is encouraged to seek support from a licensed mental health professional. Coaching is not a substitute for such care.

Coach does not provide legal, financial, or medical advice. Client is solely responsible for decisions made during and after the coaching relationship, including decisions about their relationships, and should consult appropriately licensed professionals (attorneys, financial advisors, physicians, therapists) as needed.

2. Confidentiality

Coach will keep the content of coaching sessions confidential, except where:

  • Client provides written consent to share specific information;

  • Disclosure is required by law or court order;

  • Coach believes there is a genuine risk of serious harm to Client or another identifiable person.

Couples coaching involves both partners; in some cases, partners will work both separately and jointly with Coach. In such cases, Coach does not keep secrets between partners in couples coaching as standard practice — this can be discussed and given nuance during the First Session and revisited as the work between Coach and Clients evolves.

3. Social Encounters Outside of Sessions

Coach and Client may occasionally cross paths outside of scheduled sessions–at community events, social gatherings, or elsewhere in daily life. In these situations, Coach will offer a simple, friendly greeting and will not engage in further conversation unless Client initiates. 

Coach will not discuss coaching-related topics with Client outside of scheduled sessions–whether in person, by phone, or electronically–except for routine scheduling and administrative matters.

4. Romantic/Sexual Relationships & Conflicts of Interest

To protect the integrity of the coaching relationship, Coach will not enter into a romantic or sexual relationship with a current client, nor with a former client until at least two (2) years have passed since the conclusion of their last coaching session. This upholds standard ethical protocols across the coaching and counseling professions.

Using their own discretion, Coach will likely decline to take on as a client anyone with whom Coach shares one degree of separation through past or present romantic or sexual relationships, as this often presents a conflict of interest that could compromise Coach’s objectivity or Client’s confidentiality. If such an overlap becomes apparent after coaching has begun and does present a conflict of interest, Coach will disclose it and, if termination of the contract is decided, refund Client any remaining sessions. 

5. Session Structure & Format

All sessions are held virtually via Zoom. A First Session is required before Client may book ongoing individual sessions or purchase a session package. Sessions are offered in 60- and 90-minute formats as described on Coach's current pricing page.

6. Scheduling, Cancellation & No-Shows

Client may reschedule or cancel a session with at least 24 hours' notice at no charge. Cancellations or reschedule requests made with less notice, and no-shows, will forfeit the session with no refund, except in cases of genuine emergency (Coach’s discretion). Scheduling for Kim Wayman Coaching is processed through Conspire Studio, LLC.

7. Package Terms

  • Session packages must be used within 6 months of the purchase date. Sessions not used within this window are forfeited.

  • Packages are non-transferable to another person.

  • Packages are non-refundable once the first session in the package has been used. Unused, un-started packages may be refunded within 14 days of purchase, less a $30 administrative fee.

  • Package sessions are booked using Client's dedicated booking link and are subject to the same cancellation policy as individual sessions.

8. Fees & Payment

Fees are due at the time of booking (single sessions) or at the time of purchase (packages), per Coach's current published pricing, unless a separate Payment Plan Addendum has been signed. Payments are processed through Coach's scheduling platform (Acuity) and its integrated payment processor. Payments for Kim Wayman Coaching are processed through Conspire Studio, LLC.

9. Client Responsibilities

Client agrees to engage honestly and openly in the coaching process, to communicate respectfully with Coach, and to take responsibility for their own choices, actions, and the outcomes of decisions made during or after coaching — including decisions about relationship structure. Coaching outcomes are not guaranteed.

10. Assumption of Risk

Client acknowledges that coaching involves discussing personal, intimate, and relational topics, and that exploring changes to relationship structure carries inherent emotional and relational risk. Client voluntarily assumes this risk by participating in coaching.

11. Limitation of Liability

To the fullest extent permitted by law, Coach's total liability arising from this Agreement or the coaching relationship shall not exceed the total fees paid by Client to Coach. Coach is not liable for the outcomes of decisions Client makes regarding their relationships, career, health, or other life areas.

12. Termination

Either party may terminate the coaching relationship at any time, for any reason, with written notice. There is no refund for remaining package sessions should a package be terminated before all sessions have been fulfilled, except in exceptional circumstances (Coach’s discretion).

13. Governing Law

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

14. Entire Agreement

This Agreement, together with any signed addenda (including a Payment Plan Addendum, if applicable), constitutes the entire agreement between Coach and Client regarding coaching services, and supersedes any prior oral or written agreements.
